1. Who we are
The Service is operated by Morovid s.r.o., with its registered office at Kurzova 2222/16, 155 00 Praha, company identification number (IČO) 21762261, VAT identification number (DIČ) CZ21762261, registered in the Commercial Register maintained by Městský soud v Praze, represented by its managing director Jan Malčák ("we", "us" or "our").
If you do not agree with these Terms, do not use the Service. If anything is unclear, contact us at [email protected].
2. Definitions
- "Account" means the account you create to use the Service.
- "Customer Data" means personal data relating to your own clients that you or they enter into the Service, for which you are the controller.
- "Organisation" means the salon, studio or other business on whose behalf you use the Service.
- "User Content" means content you upload or make available through the Service, including text, images, service menus, prices and your Customer Data.
3. The Service
Retunk lets salons and studios take online bookings, manage clients and appointments, send reminders, take payments and deposits, sell vouchers and publish a website. We may add, change or remove features from time to time, provided this does not materially reduce the core functionality you have paid for during a paid period.
Some features depend on third-party providers (for example payments, SMS and email delivery) and may be unavailable if those providers are unavailable.
4. Accounts and eligibility
You must be at least 18 years old and able to enter into a binding contract to create an account. If you create an account on behalf of an Organisation, you confirm that you are authorised to bind that Organisation to these Terms.
You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at the contact address above if you suspect any unauthorised access or security breach.
5. Plans, fees and taxes
The Service is offered on a subscription basis. The current plans and prices are published on our pricing page. Unless stated otherwise, prices exclude VAT and other applicable taxes, which will be added where required by law.
In addition to the subscription fee, we charge a transaction fee of 5% of the value of each booking or voucher sale processed through the Service. The transaction fee is charged in addition to any payment-processing fees charged by our payment provider.
We may change our prices. We will give you reasonable advance notice of any change that affects you, and you may cancel before the change takes effect.
6. Billing and payment
Subscriptions are billed in advance, monthly or yearly, through our payment provider. By providing payment details, you authorise us and our provider to charge the applicable fees on a recurring basis until you cancel. Subscriptions renew automatically for the same period unless cancelled before the renewal date.
If a payment fails, we may suspend access to the Service until the outstanding amount is paid. Fees already paid are non-refundable except where required by law or expressly stated otherwise.
7. Term, cancellation and termination
These Terms apply for as long as you use the Service. You may cancel at any time from your account settings, and you will keep access until the end of the period you have already paid for.
We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use poses a risk to the Service or other users. Where practicable, we will give you notice and an opportunity to remedy the breach.
On termination, we will make your User Content available for export for a reasonable period, after which it may be deleted in accordance with our Privacy Policy and Data Processing Agreement.
8. Acceptable use
You agree not to use the Service to:
- break any law or regulation, or infringe the rights of any person;
- send unsolicited messages (spam) or messages that do not comply with applicable marketing and electronic communications rules;
- upload content that is unlawful, defamatory, fraudulent, misleading, hateful, obscene or harmful;
- upload malware or any code designed to disrupt or damage the Service;
- attempt to gain unauthorised access to the Service, other accounts or our systems;
- interfere with or place undue load on the Service, including through automated scraping or denial-of-service activity;
- reverse engineer or copy the Service, except as permitted by law; or
- resell or provide the Service to third parties without our written consent.
9. Your content and licence
You keep all rights to your User Content. You grant us a limited, non-exclusive, worldwide licence to host, store, reproduce, transmit and display your User Content solely to operate, provide and improve the Service, and to comply with law. This licence ends when your content is deleted from the Service, except for residual copies in backups that are deleted on our normal rotation.
You are responsible for your User Content, including its legality and accuracy, and for having a lawful basis to process any personal data contained in it. You must not upload content that you do not have the right to use.
10. Intellectual property
The Service, including its software, design, text, graphics, logos and trademarks (but excluding your User Content), is owned by us or our licensors and is protected by copyright and other intellectual property laws. We grant you a limited, non-transferable, non-exclusive right to use the Service for your internal business purposes during the term of these Terms. All rights not expressly granted are reserved.
If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.
11. Third-party services
The Service may link to or integrate with third-party services, such as payment, SMS, email, mapping and social media providers. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not control their availability or content.
12. Availability and support
We aim to keep the Service available and working properly, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and the Service may be affected by factors beyond our control, including your connection and third-party infrastructure. Support is available at the contact address above.
13. Data protection
Our handling of personal data is described in our Privacy Policy. Where we process Customer Data on your behalf, we act as your processor and the Data Processing Agreement applies and forms part of these Terms.
You are responsible, as controller, for the lawfulness of the Customer Data you process through the Service, for providing any required notices to your clients, and for obtaining any required consents, including for marketing messages.
14. Warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or free from errors, or that it will meet your specific requirements.
15. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or in connection with the Service, even if we were advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with these Terms or the Service is limited to the amount you paid us for the Service during the 12 months immediately preceding the event giving rise to the claim.
We do not exclude or limit our liability for intent, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.
16. Indemnity
You agree to indemnify and hold us harmless from claims, damages, liabilities and reasonable costs (including legal fees) arising from your User Content, your breach of these Terms, your violation of law, or your infringement of any third-party right.
17. Changes to these Terms
We may update these Terms to reflect changes in the Service or the law. We will post the revised version on this page and update the date at the top. If a change is material, we will notify account holders by email or in the application with reasonable advance notice. Continued use of the Service after the effective date means you accept the revised Terms.
18. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of the Czech Republic, without regard to conflict-of-law rules. The courts of the Czech Republic, with local jurisdiction at the courts of the City of Prague, have exclusive jurisdiction, except where mandatory rules protect you as a consumer.
19. Consumers and dispute resolution
If you are a consumer, nothing in these Terms affects your statutory rights. You may also use the European Commission's online dispute resolution platform or contact the Czech Trade Inspection Authority (Česká obchodní inspekce) for out-of-court resolution of consumer disputes.
20. Miscellaneous
- These Terms, together with the Privacy Policy and the Data Processing Agreement, form the entire agreement between us on their subject matter.
- If any provision is found unenforceable, the remaining provisions remain in force.
- You may not assign your rights under these Terms without our consent; we may assign them to an affiliate or in connection with a merger or sale of assets.
- A failure to enforce a provision is not a waiver of it.
- We may give notices by email to the address on your account or through the Service.
